Article 1 - Purpose and scope of application
1.1 Any order for products implies the buyer's unreserved acceptance of and full adherence to these general terms and conditions of sale, which prevail over any other document of the buyer, and in particular over any general terms and conditions of purchase, unless LUMILA has given its express prior consent.
1.2 These general terms and conditions of sale apply to all sales of products by LUMILA, unless a specific agreement prior to the order has been made in writing between the parties.
Consequently, the placing of an order by a customer implies the latter's unreserved acceptance of these general terms of sale, unless special conditions are agreed in writing by LUMILA to the purchaser.
1.3 Any document other than the present general conditions of sale, and in particular catalogues, prospectuses, advertisements and notices, shall only be informative and indicative, not contractual.
Article 2 - Intellectual property
All technical documents provided to our customers remain the exclusive property of Lumila, the sole holder of the intellectual property rights on these documents, and must be returned to Lumila on request.
Our customers undertake not to make any use of these documents which might infringe the industrial or intellectual property rights of LUMILA and undertake not to disclose them to any third party.
Article 3 - Orders
3.1 Definition
By order, we mean any order relating to our products listed in our price list, and accepted by LUMILA, accompanied by the payment of the deposit, if any, specified on the order form.
3.2 Modification
3.2.1 Orders sent to LUMILA are irrevocable for the customer, unless accepted in writing by us.
3.2.2 Any request to modify the composition or volume of an order placed by a customer will only be taken into account by LUMILA if the request is made in writing, including by fax or e-mail, and is received by LUMILA no later than 8 days after LUMILA receives the initial order.
In case of modification of the order by the client, LUMILA will be released from the agreed time limits for its execution.
Article 4 – Livraisons
4.1 Délais
4.1.1 Les délais de livraison ne sont donnés qu’à titre informatif et indicatif ; ceux-ci dépendant notamment de la disponibilité des transporteurs et de l’ordre d’arrivée des commandes.
La société LUMILA s’efforce de respecter les délais de livraison qu’elle indique à l’acceptation de la commande, en fonction du délai logistique de référence dans la profession, et à exécuter les commandes, sauf force majeure, ou en cas de circonstances hors de son contrôle, telles que grèves, gel, incendie, tempête, inondation, épidémie, difficultés d’approvisionnement, sans que cette liste soit limitative.
4.1.2 Tout retard par rapport aux délais indicatifs de livraison initialement prévus, ne saurait justifier une résiliation de la commande passée par le client et enregistrée par la société LUMILA.
4.2 Risques
Les livraisons sont effectuées franco de port. Le transfert des risques sur les produits vendus par la société LUMILA s’effectue à la remise des produits.
4.3 Transport
Il appartient au client, en cas d’avarie des marchandises livrées ou de manquants, d’effectuer toutes les réserves nécessaires auprès du transporteur.
Tout produit n’ayant pas fait l’objet de réserves par lettre recommandée avec AR dans les 3 jours de sa réception auprès du transporteur, conformément à l’article L. 133-3 du code de commerce, et dont copie sera adressée simultanément à la société LUMILA, sera considéré accepté par le client.
4.4 Réception
4.4.1 Sans préjudice des dispositions à prendre par le client vis-à-vis du transporteur telles que décrites à l’article 4.3, en cas de vices apparents ou de manquants, toute réclamation, quelle qu’en soit la nature, portant sur les produits livrés, ne sera acceptée par la société LUMILA que si elle est effectuée par écrit, en lettre recommandée avec AR, dans le délai de 3 jours prévu à l’article 4.3.
4.4.2 Il appartient à l’acheteur de fournir toutes les justifications quant à la réalité des vices ou manquants constatés.
4.4.3 Aucun retour de marchandises ne pourra être effectué par le client sans l’accord préalable exprès, écrit, de la société LUMILA, obtenu notamment par télécopie ou courrier électronique.
Les frais de retour ne seront à la charge de la société LUMILA que dans le cas où un vice apparent, ou des manquants, est effectivement constaté par cette dernière ou son mandataire.
Seul le transporteur choisi par la société LUMILA est habilité à effectuer le retour des produits concernés.
4.4.4 Lorsqu’après contrôle un vice apparent ou un manquant est effectivement constaté par la société LUMILA ou son mandataire, le client ne pourra demander à la société LUMILA que le remplacement des articles non conformes et/ou le complément à apporter pour combler les manquants aux frais de celle-ci, sans que ce dernier puisse prétendre à une quelconque indemnité ou à la résolution de la commande.
4.4.5 La réception sans réserve des produits commandés par le client couvre tout vice apparent et/ou manquant.
Toute réserve devra être confirmée dans les conditions prévues à l’article 4.4.1.
4.4.6 La réclamation effectuée par l’acquéreur dans les conditions et selon les modalités décrites par le présent article ne suspend pas le paiement par le client des marchandises concernées.
4.4.7 La responsabilité de la société LUMILA ne peut en aucun cas être mise en cause pour faits en cours de transport, de destruction, avaries, perte ou vol, même si elle a choisi le transporteur.
4.5 Suspension des livraisons
En cas de non-paiement intégral d’une facture venue à échéance, après mise en demeure restée sans effet dans les 48 heures, la société LUMILA se réserve la faculté de suspendre toute livraison en cours et/ou à venir.
4.6 Paiement comptant
Toutes les commandes que nous acceptons d’exécuter le sont, compte tenu du fait que le client présente les garanties financières suffisantes, et qu’il réglera effectivement les sommes dues à leur échéance, conformément à la législation.
Aussi, si la société LUMILA a des raisons sérieuses ou particulières de craindre des difficultés de paiement de la part du client à la date de la commande, ou postérieurement à celle-ci, ou encore si le client ne présente pas les mêmes garanties qu’à la date d’acceptation de la commande, la société LUMILA peut subordonner l’acceptation de la commande ou la poursuite de son exécution à un paiement comptant ou à la fourniture, par le client, de garanties au profit de la société LUMILA.
La société LUMILA aura également la faculté, avant l’acceptation de toute commande, comme en cours d’exécution, d’exiger du client communication de ses documents comptables, et notamment des comptes de résultat, même prévisionnels, lui permettant d’apprécier sa solvabilité.
En cas de refus par le client du paiement comptant, sans qu’aucune garantie suffisante ne soit proposée par ce dernier, la société LUMILA pourra refuser d’honorer la (les) commande(s) passée(s) et de livrer la marchandise concernée, sans que le client puisse arguer d’un refus de vente injustifié, ou prétendre à une quelconque indemnité.
4.7 Refus de commande
Dans le cas où un client passe une commande à la société LUMILA, sans avoir procédé au paiement de la (des) commande(s) précédente(s), la société LUMILA pourra refuser d’honorer la commande et de livrer la marchandise concernée, sans que le client puisse prétendre à une quelconque indemnité, pour quelque raison que ce soit.
Article 5 - Prices
5.1 Prices
5.1 The prices in force may be revised at any time, after prior information to our customers. Any price change will automatically apply on the date indicated on the new price list.
5.2 Our prices are fixed by the tariff in force on the day the order is placed. They are always exclusive of tax.
5.3 They are calculated net, without discount, and payable at the time of order (unless otherwise expressly stated by the company).
5.4 Unless otherwise agreed, delays in delivery do not entail cancellation or modification of the contract. They shall not give rise to damages. Penalty clauses on our customers' commercial papers shall not be binding on us.
5.5 The execution deadlines appearing in an order are only accepted by LUMILA and are only binding under the following conditions: compliance by the customer with the terms of payment and payment on account, timely supply of technical specifications, absence of delays in studies or preparatory work, absence of force majeure, social, political, economic or technical events hindering the operation of our factories or their supply of components, energy or raw materials.
5.6 Unless otherwise agreed, packaging is determined and prepared by LUMILA. They are invoiced in addition to the prices indicated and are not returnable.
Article 6 - Terms of payment
6.1 Payment
Our invoices are payable on the due date indicated therein.
Only the effective cashing of the drafts or LCR will be considered as full payment within the meaning of these general terms of sale.
6.2 Non-payment
6.2.1 Any amount including VAT not paid on the due date shall give rise to the payment by the customer of penalties set at three times the legal interest rate. These penalties are payable by operation of law and will be automatically debited from the customer's account.
6.2.2 In addition, LUMILA reserves the right to refer the matter to the competent court in order to put an end to this non-performance, subject to a daily penalty per day of delay.
Article 7 - Reservation of ownership
7.1 The transfer of ownership of our products is suspended until full payment of the price of these by the customer, in principal and accessories, even in the event of the granting of payment deadlines. Any clause to the contrary, in particular inserted in the general conditions of purchase, is deemed unwritten, in accordance with Article L. 624-16 of the French Commercial Code.
7.2 By express agreement, LUMILA may exercise its rights under the present retention of title clause, for any of its claims, on all of its products in the customer's possession, the latter being conventionally presumed to be those unpaid, and LUMILA may take them back or claim them as compensation for all of its unpaid invoices, without prejudice to its right to terminate sales in progress.
7.3 The buyer is authorised, within the framework of the normal operation of his establishment, to resell the goods delivered. However, he may not pledge them or transfer ownership by way of security until the price has been paid in full.
Until the price has been paid in full, the resale authorisation is automatically withdrawn in the event of receivership or liquidation.
7.4 The buyer is entitled to process the delivered goods within the scope of the normal operation of his business.
In the event of processing, the buyer undertakes to pay LUMILA immediately the part of the price still due.
7.5 In the event of non-payment of an invoice on the due date, LUMILA may also demand that the sale be cancelled after sending a simple formal notice. Similarly, LUMILA may unilaterally, after sending a formal notice, draw up or have drawn up an inventory of its products in the possession of the customer, who undertakes, from now on, to allow free access to its warehouses, shops or other for this purpose, ensuring that the identification of the company's products is always possible.
7.6 In the event of the opening of insolvency or liquidation proceedings, outstanding orders shall be automatically cancelled and LUMILA reserves the right to reclaim the goods in stock.
7.7 This clause does not prevent the risks of the goods from being transferred to the buyer upon delivery to the buyer.
7.8 As from the time of delivery, the buyer is constituted as the depositary and guardian of the said goods.
In the event of non-payment and unless we prefer to demand full performance of the sale, we reserve the right to terminate the sale after notice of default and to reclaim the goods delivered, the costs of return being borne by the buyer and the payments made being retained by us as a penalty clause.
Article 8 - Guarantee for visible and hidden defects
The products are guaranteed for a period of two years and for a daily operation of 12 hours. The warranty is extendable to 5 years at the customer's request.
LUMILA warrants that each of its Products is free from material and manufacturing defects. This warranty is valid for the period stated in the warranty applicable to your Products. If a Product fails to perform in accordance with this warranty, LUMILA will replace the defective Product free of charge, subject to the terms of the applicable warranty and the terms of the limited warranty set forth below.
8.1 The Products must be checked by the customer upon delivery, and any claim, reservation or dispute relating to shortages and apparent defects must be made in accordance with the conditions set out in Article 4. In the event of apparent defects, the defective parts are replaced by us, subject to verification of the alleged defects.
The customer must provide any justification as to the reality of the defects observed, LUMILA reserving the right to proceed, directly or indirectly, to any observation and verification on site.
8.2 The customer must report any defects existing at the time of delivery and revealed after receipt of the products in writing within 30 days of the date on which he/she discovered the lack of conformity. No complaint will be taken into account if it is made more than 30 clear days after delivery of the products.
8.3 It is expressly agreed by the customer's acceptance of these general terms and conditions of sale that after the expiry of this period, the customer will not be able to invoke the non-conformity of the products, nor to oppose it as a counterclaim in order to defend itself in an action for the recovery of debts undertaken by the company LUMILA. If these conditions are not respected, LUMILA shall not be liable to the customer for any hidden defect.
8.4 Defects and deterioration of the products delivered as a result of abnormal storage and/or conservation conditions at the customer's premises, in particular in the event of an accident of any kind whatsoever, shall not entitle the customer to the guarantee owed by LUMILA.
8.5 Under the warranty for hidden defects, LUMILA shall only be obliged to replace the defective goods free of charge, without the customer being able to claim damages for any reason whatsoever.
8.6 LUMILA warrants its products against hidden defects, in accordance with the law, usage and case law, and under the following conditions.
Our guarantee only applies to products that have become the property of the buyer. It is excluded if our products have been used in conditions of use or performance that were not intended.
Our guarantee only covers hidden defects. A hidden defect is defined as a manufacturing fault in the product that renders it unfit for use and that could not have been detected by the buyer prior to its use. Our customers are deemed to have received all technical information relating to our products.
This warranty does not apply to damage or failure due to natural disaster, improper, abusive, abnormal use or use contrary to any applicable standard, code or instruction for use, including, but not limited to, the instructions contained in the most recent safety, industry and/or electrical standards in France.
LUMILA cannot be held responsible for power supply conditions, including voltage spikes, surges/undervoltages and current fluctuations related to a management system beyond the limits specified for the Products and those defined by the applicable standards (e.g. EN 50160 standards).
This warranty shall be deemed void if any person has performed any repair or modification on the Product without the express written consent of LUMILA. The date of manufacture of the Product must be clearly legible. LUMILA reserves the right to make the final decision as to the validity of any warranty claim.
8.7 Our standard warranty is limited to the first two years from the date of invoice. After this period, our warranty automatically ceases.
8.8 An extended warranty is offered at the customer's request and notified in the quotation.
Article 9 - Withdrawal
In the case of internet sales, the consumer has the right of withdrawal provided for by the regulations.
Article 10 - Force majeure
Are considered as force majeure or fortuitous events, the events independent of the will of the parties, which they could not reasonably be required to foresee, and which they could not reasonably avoid or overcome, insofar as their occurrence makes the execution of the obligations totally impossible.
The following in particular are considered to be cases of force majeure or fortuitous events that relieve LUMILA of its obligation to deliver within the time limits initially set strikes by all or part of the staff of LUMILA or its usual transporters, fire, flood, war, production stoppages due to fortuitous breakdowns, the impossibility of being supplied with raw materials, epidemics, thawing barriers, roadblocks, strike or disruption of EDF-GDF supply, or disruption of supply for a reason not attributable to LUMILA, as well as any other cause of disruption of supply attributable to our suppliers.
In such circumstances, LUMILA will warn the customer in writing, notably by fax or e-mail, within 24 hours of the date of occurrence of the events, the contract binding LUMILA and the customer being then automatically suspended without compensation, as from the date of occurrence of the event.
If the event lasts more than 30 days from the date of its occurrence, the sales contract concluded by LUMILA and its client may be terminated by the most diligent party, without either party being able to claim damages.
This termination shall take effect on the date of the first presentation of the registered letter with acknowledgement of receipt denouncing the said sales contract.
Article 11 - Jurisdiction
11.1 LUMILA elects domicile at its registered office.
11.1.1 Any dispute concerning the application of these general terms and conditions of sale and their interpretation, their execution and the sales contracts concluded by LUMILA, or the payment of the price, shall be brought before the commercial court of the registered office of LUMILA, regardless of the place of the order, delivery, and payment and the method of payment, and even in the event of a guarantee appeal or multiple defendants.
Bills of exchange do not novate or derogate from this jurisdiction clause.
11.1.2 The attribution of jurisdiction is general and applies whether it concerns a main claim, an incidental claim, an action on the merits or a summary procedure.
11.1.3 In addition, in the event of legal action or any other action for the collection of debts by LUMILA, the costs of summons, legal fees, and all ancillary costs shall be borne by the customer at fault, as well as the costs related to or arising from the customer's failure to comply with the terms of payment or delivery of the order concerned.
Article 12 - Waiver
The fact that LUMILA does not avail itself at a given time of any of the clauses of the present contract shall not constitute a waiver of the right to avail itself of these same clauses at a later date.
Article 13 - Applicable law
Any question relating to these general terms and conditions of sale as well as to the sales they govern, which would not be dealt with by the present contractual stipulations, shall be governed by French law to the exclusion of any other law, and by way of supplement, by the Vienna Convention on the international sale of goods.
